Public offer.

The terms on which Atoms provides IT services. The scope and price of each piece of work are agreed by e-mail or messenger; the work is paid for once it is done; and paying the invoice is what accepts it. Nothing more is required.

What is provided, and how it is agreed

Subject of this Offer

  1. This document is a public offer (the Offer) addressed by Sole Proprietor Melnyk Oleg Ihorovych, operating under the name Atoms (the Contractor), to any person who accepts it (the Client). Together the Parties.
  2. The Contractor provides information technology services to the Client, and the Client accepts and pays for them on the terms of this Offer.
  3. The Services may include software development, enhancement, testing, deployment and maintenance, automation, data collection and processing, technical consulting and other related IT services (the Services).
  4. The specific scope, deliverables and price of the Services are agreed by the Parties by e-mail or messenger, or stated in the relevant Invoice.
  5. The Services are provided remotely. The Contractor organises the work independently and is not an employee of the Client.
  6. The Offer is accepted by agreeing a scope of work with the Contractor, or by paying an Invoice. From that moment the Offer and the terms agreed under it form the agreement between the Parties.

Paid on completion; payment is the acceptance

Fees, payment and acceptance

  1. Payment is made after completion of the relevant scope of work.
  2. After completion, the Contractor issues an Invoice specifying the Services provided and the total amount due. The price of the Services is the amount stated in that Invoice.
  3. Each Invoice simultaneously constitutes the Statement of Services Rendered. No separate acceptance certificate is required unless the Parties agree otherwise in writing.
  4. Payment of an Invoice by the Client confirms that all Services specified in that Invoice have been completed in full by the Contractor, accepted by the Client without reservation, and that the Client has no claims regarding the scope, quality, timing or result of the work performed.
  5. Payment is made to the Contractor's bank details stated in the relevant Invoice, or through payment systems agreed by the Parties. The payment term and currency are stated in the relevant Invoice.
03 — Term03 / 04

How long it lasts and how it ends

Term

  1. The Offer takes effect on acceptance and remains in force until the Parties have fulfilled their obligations.
  2. Either Party may terminate by written notice to the other. Services actually completed before termination remain payable.

Miscellaneous

  1. The Parties recognise the validity of documents signed by hand and exchanged as scanned copies, as well as documents and approvals sent by e-mail.
  2. Correspondence and approvals by e-mail or messenger may be used to confirm the scope of work, price, deadlines and other agreed terms.
  3. The Parties shall seek to resolve any dispute or disagreement through negotiation.
